Terms of Service

These Terms of Service ("Terms") are an agreement between you and REI.OS LLC, an Ohio limited liability company ("rei.OS," "we," "us"). They govern your use of the rei.OS platform at reiosapp.com and my.reiosapp.com, including any related applications, portals, connectors, and services (together, the "Service").

By creating an account, starting a trial, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.

If you do not agree, do not use the Service.

rei.OS is an operating system for real estate investors and operators. It lets you underwrite, scope, build, share, rent, and account for properties from a single record, and it lets you connect the AI assistant you already use to that record through scoped connections.

We add, change, and retire features on an ongoing basis. The public roadmap describes intent, not a commitment. We will not remove core functionality you are paying for without reasonable notice.

The Service is a tool. It does not provide legal, tax, accounting, lending, brokerage, or investment advice. Every number it produces (comps, ARV, repair estimates, cash flow, net profit) is an estimate built from data you and third-party sources supply. You are responsible for verifying it before you act on it.

You must be at least 18 years old and able to form a binding contract to use the Service.

You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for everything that happens under your account, including actions taken by crew members, tenants, partners, or AI clients you invite or connect.

One person or company per account. You may not share login credentials outside your organization or resell access.

Free trial. New accounts get a 30-day free trial with every feature enabled. No payment method is required. When the trial ends, your account does not bill; it pauses until you subscribe.

Subscription. rei.OS is sold as a single monthly subscription with every module included. There are no tiers and no per-property or per-seat charges.

• Founding Rate: $99 per month for accounts that subscribe before January 1, 2027. The Founding Rate stays locked for as long as the subscription remains continuously active. If you cancel and later resubscribe, the then-current rate applies.
• Standard Rate: $129 per month for accounts that subscribe on or after January 1, 2027.

We may change the Standard Rate with at least 30 days' notice by email. Rate changes never affect a locked Founding Rate.

Optional services. Setup services, custom build-outs, and any add-on offered later are priced and described at the time you purchase them and are governed by these Terms unless a separate written agreement says otherwise.

Payment. Subscriptions bill monthly in advance to the payment method on file. Payments are processed by Stripe. Charges are processed by JBS REI LLC on behalf of REI.OS LLC and appear on your statement as REIOS.

Cancellation. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not issue prorated refunds for partial months.

Failed payments. If a charge fails, we will retry and notify you. If payment is not resolved within 14 days, we may suspend the account until it is.

Taxes. Prices exclude taxes. You are responsible for any sales, use, or similar tax that applies to your subscription.

From time to time we may offer a promotion. A promotion applies only while we advertise it on reiosapp.com and only on the terms stated for it here or where it is offered. We may end a promotion at any time; ending it does not change a discount already applied to your subscription.

Demo offer. When we are running it, a person who attends a live rei.OS demo receives a promotion code for 50% off the first 3 monthly charges of the Founding Rate, then the Founding Rate of $99 per month. The terms:

• One code per demo attendee. Booking a demo alone does not qualify.
• The code is for new subscribers only, can be used once, and is limited to one per account.
• The code expires at the end of the 30th day after the demo, Eastern Time.
• The code replaces the free trial. It can be used before or during a free trial, and subscribing with it ends the trial and starts billing that day. It cannot be used after a free trial has ended.
• A code from a demo held before January 1, 2027 keeps the Founding Rate even if it is used after that date, as long as it is used before it expires.
• The discount applies automatically to the first 3 monthly charges and then ends. The Founding Rate lock follows the Subscription terms above.
• Codes have no cash value, cannot be transferred or sold, and cannot be combined with any other discount.

You own your data. Everything you enter, upload, or connect to the Service (property records, documents, photos, financials, contacts, scopes, comps) is yours ("Customer Data").

Our license. You grant us a limited license to host, process, back up, display, and transmit Customer Data solely to operate and support the Service for you, including passing it to the third-party services you connect.

Export. You can export your Customer Data at any time from within the Service, during the trial or as a subscriber.

Our improvements. We may use aggregated, de-identified usage information to improve the Service. We do not sell Customer Data and we do not use it to train models of our own.

Feedback. If you send us feedback or suggestions, we can use them without obligation to you.

The Service lets you connect third-party AI clients (for example Claude or ChatGPT) to your account through scoped connections.

• Scopes govern access. A connected client can read or propose only what falls inside the scopes you grant at connection time. Nothing is granted account-wide by default.
• Agents propose; you approve. Any action that sends a message, signs or generates a document, moves money, locks a scope or comp set, or otherwise changes a record of consequence is staged as a draft. It does not execute until you approve it inside the Service.
• Your client, your responsibility. The AI client is your account with a third party. Its behavior, its output, and what it does with data it reads from rei.OS are governed by that provider's terms, not ours. You are responsible for reviewing what a connected client proposes before approving it.
• Revocation. You can revoke any connected client at any time from Settings > Connected Clients. Revocation is immediate.

The Service connects to third parties you choose to enable, which may include bank data aggregation (Plaid), payments (Stripe), e-signature (DocuSign), Google services, property data providers, and AI providers. Each is governed by its own terms and privacy policy. We are not responsible for their availability, accuracy, or conduct.

Property, comparable-sale, valuation, and market data supplied through the Service comes from third-party sources and public records. It may be incomplete, delayed, or wrong. Verify it before you rely on it.

You agree not to:

• use the Service to violate any law, or to store or transmit content that is unlawful, infringing, or defamatory;
• access accounts or data that are not yours, or probe, scan, or test the Service's security without written permission;
• reverse engineer, scrape, or copy the Service, or use it to build a competing product;
• upload malware or interfere with the Service's operation;
• send unsolicited or unlawful communications through any messaging feature;
• use the Service to make credit, housing, or employment decisions in a way that violates fair housing or consumer protection law.

We may suspend accounts that violate this section, with notice where practical.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY ESTIMATE, VALUATION, OR ANALYSIS WILL BE ACCURATE, OR THAT ANY THIRD-PARTY DATA OR AI OUTPUT WILL BE CORRECT. YOU ARE SOLELY RESPONSIBLE FOR DECISIONS YOU MAKE, OFFERS YOU SUBMIT, MONEY YOU SPEND, AND CONTRACTS YOU SIGN.

TO THE FULLEST EXTENT PERMITTED BY LAW, REIOS LLC AND ITS MEMBERS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE PAID NOTHING.

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the extent the law permits.

You will defend and indemnify REI.OS LLC against claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service in violation of these Terms or the law, or actions taken by people or AI clients you gave access to your account.

You may close your account at any time. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if we discontinue the Service (with at least 30 days' notice in that case).

On termination, your right to use the Service ends. You will have 30 days to export your Customer Data, after which we may delete it as described in the Privacy Policy. Sections 5, 9, 10, 11, 13, and 14 survive termination.

We may update these Terms. For material changes we will email the address on your account at least 14 days before the change takes effect. Continued use after the effective date means you accept the updated Terms. The "Last updated" date at the top reflects the current version.

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules.

Before filing any claim, you agree to contact us and give us 30 days to resolve it informally. If we cannot, any dispute will be brought exclusively in the state or federal courts located in Mahoning County, Ohio, and both parties consent to that venue.

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or reorganization. Our failure to enforce a provision is not a waiver of it.

rei.OS is also available as a mobile app for iPhone through Apple's App Store and for Android through Google Play. The app gives existing rei.OS accounts access to the same Service, and these Terms apply to it.

Your use of the app is also subject to the terms of the store you downloaded it from. These Terms are between you and REI.OS LLC only, not Apple or Google. Apple and Google are not responsible for the app or its content, have no obligation to provide maintenance or support for it, and are not responsible for any claim relating to it, including product liability, legal or regulatory compliance, or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as they relate to the iPhone app.

Subscriptions are not sold inside the app. Accounts are created and managed at reiosapp.com.

You can delete your account from inside the app (Settings, then Profile, then Delete account) or as described at reiosapp.com/delete-account.
